Website Project Agreement

Version 1.0, November 2026

1. The parties

This Website Project Agreement is between Guilherme Dias, Rua Kary 73, São Paulo, SP 07042-041, Brazil (the "Designer"), and the person or business named on the Order Form (the "Client"). The Order Form and the invoice are part of this Agreement.

2. What is included

The Designer will build the website or websites selected on the Order Form, based on the preview the Client approved. The prices, the payment schedule and the plan chosen are the ones stated on the invoice.

3. The approved preview

By approving the preview, the Client confirms that the overall design, structure and direction of the website are accepted. From that point on, the work is about finishing and refining it, so the Client gets a great result without delays.Where the preview does not yet show every page or division, the remaining pages are built in the same approved style.

4. What the Client provides

The Client provides the content, photos and information needed, along with the access needed to launch, as explained in the Website Launch Guide, and confirms having the right to use everything provided. Timelines depend on receiving these materials and feedback.

5. Payment

Work begins once payment is received as stated on the invoice, and the website goes live after the project is fully paid. The website price stated on the invoice is locked in.

6. Domain, hosting and third parties

Domain registration, hosting, and any other third-party service are the Client's own business costs and remain in the Client's name whenever possible.

7. Monthly plans

Plans are billed monthly, and the Client may cancel before the next billing date. Launch offers apply to the first 3 months, and the plan then continues at its regular price. Prices are stated on the invoice.A "change" is a specific update to part of a page, such as text, photos, prices, services, colors or style. Plans keep a website up to date. They do not include building a new website, redesigning the whole site, replacing the layout repeatedly, or adding new features. Those are quoted separately. Requests are handled in a reasonable order and time.

8. Occasional work

Without a plan, changes are charged at the hourly rate in effect, currently US$150 for the changes that can be made within one hour.

9. Separating divisions

When the Client has divisions built inside one domain and later separates them into different companies, the work of moving each division to its own domain and hosting is included at no extra charge if the Client is on the Premium plan at that time. Domain and hosting costs remain the Client's. A second company on the plan is charged as stated on the invoice.

10. Ownership

Once fully paid, the Client owns the final website and its content. The Designer keeps the rights to his own tools and general know-how, and may show the work in his portfolio unless the Client asks him not to.

11. Results

The Designer works to build a website that helps the business grow. Search rankings, visits and sales depend on many outside factors, including Google, so no specific result is guaranteed.

12. Ending the project

Either party may end the project with written notice. Amounts already paid for work done are not refundable, and work completed up to that date is billed according to the invoice.

13. Limit of liability

To the extent the law allows, the Designer's total liability under this Agreement is limited to the amount the Client paid for the project.

14. General terms

This Agreement is the full understanding between the parties and may only be changed in writing, including by email. The parties will first try to resolve any disagreement in good faith.

15. Acceptance

By checking the agreement box and signing the Order Form, the Client confirms having read and accepted this Agreement.
